Scope & Applicability

These Terms of Use and Disclaimer ("Terms") govern your access to and use of the Buildforma platform, including all AI-powered tools, databases, content, market intelligence, and resources made available at buildforma.com and any associated subdomains (collectively, the "Platform"), operated by Buildforma, LLC, a Florida limited liability company.

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use of the Platform immediately. These Terms apply to all users including subscribers, trial users, guests, and any person accessing Platform content on behalf of a company or investment vehicle.

Nature of AI-Generated Outputs

The Platform employs large language models and other artificial intelligence technologies to generate estimates, summaries, analyses, schedules, checklists, and other outputs. You expressly understand and acknowledge:

• AI-generated outputs are probabilistic in nature and may contain errors, omissions, outdated information, hallucinations, or outputs that are factually incorrect, incomplete, or contextually inappropriate for your specific situation.
• AI models have training data cutoffs and may not reflect recent regulatory changes, code amendments, fee schedule updates, market conditions, or legal developments.
• The quality and accuracy of outputs depend directly on the accuracy and completeness of your inputs. Buildforma bears no responsibility for outputs generated from inaccurate, incomplete, or misleading inputs.
• AI analysis of documents, floor plans, and uploaded materials has inherent limitations. Scale, dimensions, and construction details may not be fully interpretable, materially affecting output reliability.
• No AI output generated by the Platform has been reviewed, approved, or certified by a licensed professional, regulatory authority, or government body.

Tool-Specific Limitations

FloorCheck provides preliminary AI-assisted screening against selected FHA, ADA, and Florida Building Code provisions. Outputs are screening summaries only — not compliance certifications or official code determinations. All findings must be independently reviewed by a licensed architect, accessibility consultant, or Authority Having Jurisdiction before any construction, permit application, or legal reliance.

All fee estimates and timelines are approximations for planning purposes only. Actual fees are set by the relevant municipality. PermitIQ outputs do not constitute a pre-application determination, official fee quote, or binding commitment from any jurisdiction.

All schedule durations and milestone dates are planning estimates only and do not account for actual contractor selection, labor availability, material lead times, or site conditions. BuildPath outputs must not be used as the basis for construction contracts, GMP agreements, loan draw schedules, or investor commitments without independent professional review.

All cost figures are planning benchmarks only and may not reflect current subcontractor pricing or project-specific requirements. BidDesk outputs must not be used as the basis for GMP contracts, development budgets, or lender cost certifications without validation against actual competitive bids and professional review.

ZoneQuery cannot access live parcel databases, official GIS systems, or current adopted zoning maps. All zoning information must be independently verified with the relevant planning department and a licensed land use attorney. ZoneQuery outputs do not constitute an official zoning determination or legal opinion.

No Professional Advice

Nothing on the Platform constitutes professional legal, architectural, engineering, accessibility, permitting, zoning, financial, investment, tax, or any other professional advice. Buildforma, LLC is not a licensed architecture firm, engineering firm, law firm, financial advisor, or regulatory consultant. You should always consult with appropriately licensed professionals before making any decision based on Platform content.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DEVLUX, LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

• Damages arising from reliance on AI-generated outputs, estimates, schedules, cost benchmarks, zoning summaries, or compliance screenings
• Loss of profits, revenue, business opportunities, or investment returns
• Costs of remediation, redesign, permit resubmission, or project delays attributable to Platform outputs
• Construction defects, accessibility violations, code non-compliance, or regulatory penalties
• Legal fees, fines, penalties, or judgments arising from decisions made based on Platform content

IN NO EVENT SHALL DEVLUX, LLC'S TOTAL CUMULATIVE LIABILITY EXCEED THE GREATER OF (A) SUBSCRIPTION FEES PAID IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

Indemnification

You agree to defend, indemnify, and hold harmless Buildforma, LLC and its members, managers, officers, and employees from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: your use of or reliance on any Platform outputs; any project, investment, or business decision made based on Platform content; your violation of these Terms; your submission of inaccurate inputs to any Platform tool; or any third-party claims arising from your use of Platform content.

Accuracy & Currency of Information

Buildforma makes reasonable efforts to maintain accuracy and currency of Platform content. However, we make no warranty, express or implied, as to the accuracy, completeness, reliability, or suitability of any content, tool output, market intelligence, or resource. Building codes, zoning ordinances, and permit fee schedules change frequently. It is your sole responsibility to verify that any regulatory information reflects the current adopted code in the relevant jurisdiction.

Permitted Use

Platform content is licensed for your internal business use only. You may not reproduce, redistribute, sell, sublicense, or make Platform content available to third parties for commercial purposes without express written consent from Buildforma, LLC. You may not use the Platform to generate outputs intended to deceive regulatory authorities, misrepresent project conditions to lenders or investors, or circumvent applicable laws or professional licensing requirements.

Governing Law & Contact

These Terms shall be governed by the laws of the State of Florida, without regard to conflict of law provisions. Any dispute shall be subject to the exclusive jurisdiction of the state and federal courts located in Florida. Buildforma, LLC reserves the right to update these Terms at any time. Continued use of the Platform following any modification constitutes acceptance of the revised Terms.
